Our Content: All content on AI Tools Directory, including but not limited to text, graphics, logos, images, software, and compilation, is the property of FERO VERO s.r.o. or its licensors and is protected by Czech and international copyright, trademark, and other intellectual property laws.

User-Submitted Content: By submitting content (tool listings, reviews, comments), you grant us a worldwide, non-exclusive, royalty-free, perpetual license to use, reproduce, modify, adapt, publish, and display such content. You represent that you own or have the necessary rights to grant this license.

License to Use: We grant you a limited, non-exclusive, non-transferable license to access and use the service for personal or internal business purposes, subject to these Terms.

6. Tool Listings and Submissions

Tool providers may submit their AI tools for listing. We reserve the right to:

• Review and approve or reject any submission
• Remove or modify listings at our discretion
• Charge fees for premium listing services
• Verify information provided in submissions

Tool providers represent and warrant that all information submitted is accurate, current, and does not violate any third-party rights.

7. Payments and Refunds

For paid services (premium listings, featured placements):

• All prices are stated in USD and include applicable VAT where required
• Payments are processed securely through third-party payment processors
• Subscriptions automatically renew unless canceled
• Refunds are provided according to Czech consumer protection law (Act No. 634/1992 Coll.)
• For business users: Refunds are granted within 14 days of purchase if no services have been rendered
• For consumer users: Withdrawal right applies within 14 days per EU Consumer Rights Directive

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY CZECH LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability and fitness for a particular purpose
• Warranties regarding accuracy, reliability, or completeness of content
• Warranties that the service will be uninterrupted or error-free
• Warranties that defects will be corrected

We do not endorse or verify the accuracy of information provided by third-party tool providers.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY CZECH LAW, FERO VERO S.R.O. SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages arising from use or inability to use the service
• Damages arising from third-party content or actions
• Damages exceeding the amount paid by you to us in the 12 months preceding the claim

This limitation applies regardless of the legal theory (contract, tort, negligence, etc.) and even if we have been advised of the possibility of such damages.

Note: Nothing in these Terms excludes or limits liability that cannot be excluded or limited under Czech law, including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.

10. Indemnification

You agree to indemnify, defend, and hold harmless FERO VERO s.r.o., its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the service
• Your violation of these Terms
• Your violation of any rights of third parties
• Content you submit or transmit through the service

11. Privacy and Data Protection

We process personal data in accordance with Regulation (EU) 2016/679 (GDPR) and Czech Act No. 110/2019 Coll. on Personal Data Processing. Please review our Privacy Policy for detailed information about how we collect, use, and protect your data.

Dispute Resolution:

• For Business Users: Any disputes shall be resolved exclusively by the courts of the Czech Republic, with Prague having jurisdiction
• For EU Consumers: You may also bring proceedings in the courts of your country of residence. Nothing in these Terms affects your rights as a consumer under mandatory consumer protection laws
• Alternative Dispute Resolution: EU consumers may use the EU Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr

16. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable under Czech law, such provision shall be modified to the minimum extent necessary to make it valid and enforceable. If such modification is not possible, the provision shall be severed from these Terms, and the remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and FERO VERO s.r.o. regarding the use of our service and supersede all prior agreements and understandings.

18. Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign or transfer these Terms at any time without restriction.

No waiver of any term or condition shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
